Draft: this document is being reviewed by counsel and may change before Mintare leaves beta.
Terms of Service
Effective [date of launch]
These terms govern your use of Mintare (the "Service"), operated by Code Maker Inc. ("Code Maker", "we", "us"). By creating an account or using the Service you agree to them.
1. What Mintare does
Mintare is software that helps you issue invoices payable in stablecoins, match incoming blockchain payments to those invoices, and keep records of their value in Canadian dollars. Payments go directly from your client to a wallet you control.
2. We never hold your funds
- We don't take custody of, hold, transmit or convert any funds or digital assets for you.
- We never ask for or store your private keys or seed phrases.
- Blockchain transactions are final. We can't reverse, refund or recover a payment, including one sent to a wrong address.
- You are responsible for the security of your wallets and for checking payout addresses you enter.
3. Not tax, legal or financial advice
Mintare calculates values, cost base and sales-tax amounts from the information you provide and from public data such as Bank of Canada exchange rates. These figures are records and estimates, not advice. You are responsible for your tax filings and should consult a qualified professional.
4. Your account
- You must be at least the age of majority in your province and able to enter a binding contract.
- Keep access to your email account secure; sign-in links are sent there.
- The information you give us about you and your clients must be accurate and lawfully obtained.
5. Acceptable use
Don't use Mintare for anything illegal, including fraud, money laundering, sanctions evasion or invoicing for prohibited goods or services. Don't interfere with the Service or access other users' data. We may suspend accounts that break these rules.
6. Fees
Mintare is free during the beta. We'll give at least 30 days' notice before any paid plan applies to you. We don't take a percentage of your payments.
7. Third-party services
Mintare relies on blockchains, wallets, data providers and exchanges we don't control. We aren't responsible for their availability, accuracy or fees.
8. Disclaimers and liability
The Service is provided "as is" during beta. To the extent permitted by law, Code Maker isn't liable for indirect or consequential losses, or for losses from blockchain transactions, and our total liability is limited to the fees you paid us in the 12 months before the claim (or C$100 if none). [Counsel to confirm.]
9. Changes and termination
We may update these terms and will notify you of material changes. You can stop using Mintare and ask us to delete your account at any time.
10. Governing law
These terms are governed by the laws of [Province] and the federal laws of Canada that apply there.
